PLEASE READ THIS AGREEMENT CAREFULLY. IT CONTAINS A BINDING ARBITRATION AGREEMENT (SEE SECTION 6 of the PREORDER LEGAL TERMS IN THE PREORDER LEGAL TERMS AND IT AFFECTS YOUR AND VENHUB’S RIGHTS, INCLUDING THE RIGHT TO SUE IN COURT OR JOIN A CLASS ACTION.

This Preorder / Reservation Agreement (these “Terms” or “Agreement”) governs the placing of a preorder/reservation (“Preorder”) with Autonomous Solutions, Inc., a Wyoming corporation, doing business as “VenHub” and “VenHub.com” (“VenHub” or “we” or “us”) for a VenHub autonomous shopping robotic store (the “Module”). Please read all of these Terms carefully before submitting your Preorder. By submitting your Preorder, you agree to be legally bound by these Terms.

No Obligations Each Preorder you submit for a Module acts as a deposit for a future purchase of a Module. You are under no obligation to purchase a Module from us, and we are under no obligation to supply you with a Module. These Terms do not constitute an agreement for the sale of a Module and do not lock in pricing, a firm production slot, a firm delivery date, or specific Module configuration other than to give you upon payment of the Preorder Fee (as defined below) priority in the geographic area specified on the Preorder form (the “Preorder Form”) located at Pre-Order section of the VenHub.com website and or its affiliated websites. To complete the purchase or lease of a Module, you will need to execute VenHub’s standard final VenHub Module Purchase Agreement (“Final Sales Agreement”) which will include additional terms and conditions, including the final price sheet for the Module you ultimately select (“Your Selected Module”). The Final Sales Agreement may be made with another VenHub entity. Additional payment for Your Selected Module, including taxes and other governmental fees, will be required at that time. We may decline Preorders to avoid over-subscription or as we deem appropriate in our sole discretion. If your Preorder is declined, you will be notified and your Preorder payment will be refunded.

Preorder Eligibility: Age and Residency; Entity Preorders. You must be at least 18 years of age and a resident of the United States to pre-order a Module. By agreeing to these Terms, you represent and warrant to us that you are at least 18 years of age and a resident of the United States. If you are Preordering a Module on behalf of a company, organization, or entity (an “Entity”) located in the United States, you represent and warrant that you have the authority to bind that Entity to these Terms, and such Entity agrees to be bound by these Terms.

Pre-Order Tiers: Our pre-order system for VenHub stores operates on a tiered structure to ensure a smooth and organized production process.

Tier 1: As a Tier 1 customer, your order is our top priority. Once you've placed your pre-order and made your deposit, you'll be placed at the front of our production line. We focus on fulfilling all Tier 1 orders before moving on to subsequent tiers. Throughout this process, we keep you updated on the progress and status of your order.

Tier 2: Tier 2 customers come after Tier 1. Once all Tier 1 orders have been completed, we start production for Tier 2. Even though you're not first in line, we assure you that your order will receive the same attention and care as Tier 1 orders. We'll keep you informed about the progress and updates throughout the production process.

Tier 3: As a Tier 3 customer, production of your order commences after the completion of orders for Tiers 1 and 2 customers. Despite the wait, we promise that your VenHub store will be worth it. Within 90 days prior to the start of production, we'll send you further details about the next steps. Just like the previous tiers, you'll receive regular updates and progress reports.

Registration. When placing a Preorder for a Module, you represent and warrant that all information provided is accurate, and it is your responsibility to keep this information current at any time by emailing Refunds@VenHub.com VenHub shall not be liable for inaccurate or outdated information.

Payment and Refunds. When you place your Preorder, you will be charged the fee indicated on the Preorder Form (the “Preorder Fee”). Placing a Preorder constitutes your express agreement to be charged the Preorder Fee using your provided payment method. Your payment will be held by VenHub in a separate account designated solely for pre-orders and released for application towards the final sales price of Your Selected Module when you execute the Final Sales Agreement. Your payment is subject to VenHub’s payment terms and conditions are as follows:

No Guarantee of Delivery Date. You are preordering a Module without specifying the model, features, and options. We will endeavor to produce Your Selected Module in the future. Your priority will be set by the date of payment of your and or, our manufacturing schedule, and or our delivery and service operations availability and execution of the Final Sales Agreement. There is no guarantee as to the delivery date based on your Pre-order.

Cancellation/Refund. You may cancel your Preorder and receive the refund of your Preorder Fee specified on your Preorder Form at any time by sending an email to Refunds@VenHub.com from the address you used to make the preorder or an updated address you have added to your VenHub account by contacting Refunds@VenHub.com. If you are entitled to a refund, You will receive your refund within [approximately 30-60 business days]. VenHub promotional items, if any, received at the time of Preorder are yours to keep even after cancellation. VenHub may cancel your Preorder with or without your consent for cause and or no cause at any time and will issue a full refund of your Preorder Fee to the address on file.

Module Configuration. You understand that we may not have completed the development of the Module or begun manufacturing the Module at the time of your Preorder and specifications are subject to change at any time. You understand that all available features have not yet been determined and may change, even after features are announced. By agreeing to these Terms, you represent and warrant to us that you understand that the Module configuration may change prior to execution of any Final Sales Agreement.

Terms and Conditions. This Agreement is subject to the additional terms and conditions located at PREORDER LEGAL TERMS on www.VenHub.com website, which terms and conditions are incorporated by reference herein.
